These Terms & Conditions govern access to and use of the Brand Factory website, services, software, technology integrations and related digital services.

By accessing gobrandfactory.com, submitting information through the website, engaging Brand Factory for services, or authorizing Brand Factory systems to interact with third-party platforms, you agree to these Terms & Conditions.

1. About Brand Factory

Brand Factory provides digital strategy, branding, technology, website development, search marketing, advertising, content, audience development, analytics and related digital services.

Brand Factory may also operate software tools, automation systems and integrations with third-party platforms, including Google.

You may use the Brand Factory website for lawful purposes.

- Invoices

- Written approvals

Where a separate agreement conflicts with these website Terms & Conditions, the specific client agreement will generally govern the relevant client service.

4. Third-Party Accounts

Some Brand Factory services require access to accounts or platforms owned or controlled by a client.

These may include:

- Google Ads

- Google Analytics

- Google Business Profile

- Meta platforms

- Search Console

- Websites

- Content management systems

- Social media accounts

- Advertising platforms

- Analytics tools

Clients are responsible for ensuring that they have authority to grant Brand Factory access to these accounts.

5. Google Ads API and Google Services

Brand Factory may use the Google Ads API and other Google services to provide advertising management, analytics, reporting and automation functionality.

When a client authorizes Google account access, Brand Factory will use that access only for permitted and authorized purposes.

Use of information obtained through Google APIs is also governed by our Privacy Policy and applicable Google API policies.

6. Authorization to Manage Advertising Accounts

Where a client authorizes Brand Factory to manage an advertising account, the client permits Brand Factory to perform agreed activities that may include:

- Viewing campaigns

- Retrieving performance information

- Preparing reports

- Creating advertisements

- Editing advertisements

- Managing keywords

- Managing audiences or targeting

- Adjusting budgets

- Modifying bidding strategies

- Creating or modifying campaigns

- Pausing or enabling advertising activity

- Performing approved optimisation activities

The scope of management depends on the service authorized by the client.

7. Automated and AI-Assisted Services

Brand Factory may use software automation, algorithms and AI-assisted systems in the delivery of its services.

Such systems may be used to:

- Analyse information

- Generate recommendations

- Produce reports

- Identify trends

- Generate or assist with advertising content

- Optimise campaigns

- Automate approved operational tasks

Automated systems are intended to assist service delivery and do not guarantee particular financial or business outcomes.

8. Client Responsibility

Clients remain responsible for:

- Providing accurate information

- Ensuring they have rights to materials supplied to Brand Factory

- Providing required approvals

- Reviewing campaigns where approval is required

- Ensuring products and services advertised are lawful

- Compliance with applicable advertising laws

- Compliance with platform policies

- Maintaining sufficient advertising account funding

- Ensuring claims made in advertisements are accurate

9. No Guaranteed Results

Marketing, advertising, SEO, audience development and digital growth are affected by many factors outside Brand Factory's control.

Unless expressly agreed in writing, Brand Factory does not guarantee:

- Search engine rankings

- Advertising conversions

- Revenue

- Leads

- Traffic volumes

- Social media reach

- Campaign profitability

- Platform approval

- Specific business outcomes

Any forecasts, targets or projections are estimates rather than guarantees.

10. Third-Party Platforms

Brand Factory services may depend on third-party platforms such as Google, Meta, hosting providers, social media networks or analytics services.

Brand Factory does not control these platforms.

We are not responsible for:

- Platform outages

- Algorithm changes

- Policy changes

- Account suspensions

- API changes

- Advertising disapprovals

- Changes to third-party pricing

- Third-party service interruptions

We will take reasonable steps to assist clients where these issues affect services we manage.

11. Intellectual Property

Unless otherwise agreed in writing, Brand Factory retains ownership of its pre-existing:

- Software

- Frameworks

- Processes

- Systems

- Methodologies

- Automation tools

- Templates

- Algorithms

- Internal technology

- Know-how

- Proprietary intellectual property

Client-specific assets and deliverables will be owned or licensed according to the relevant client agreement.

12. Brand Factory Website Content

Unless otherwise stated, text, graphics, branding, designs, software and other materials appearing on the Brand Factory website are owned by or licensed to Brand Factory.

They may not be reproduced, distributed or commercially exploited without permission.

13. Client Content

Clients retain ownership of materials they provide to Brand Factory.

By providing content to Brand Factory, the client grants us permission to use the material to the extent reasonably required to provide the requested services.

The client warrants that it has the necessary rights and permissions to provide such materials.

14. Confidentiality

Brand Factory will take reasonable steps to protect non-public client information obtained while providing services.

Clients must also protect confidential information relating to Brand Factory systems, credentials, processes or technology.

15. Account Credentials and Security

Users and clients are responsible for protecting credentials associated with their accounts.

You must notify Brand Factory promptly if you believe:

- Credentials have been compromised

- Unauthorized access has occurred

- An integration should be revoked

- Account permissions need to be changed

16. Fees and Payment

Fees for professional services are determined through the relevant proposal, agreement, invoice or statement of work.

Unless otherwise agreed, clients are responsible for third-party expenses such as:

- Advertising spend

- Domain fees

- Hosting

- Software subscriptions

- Platform charges

- Paid media costs

Advertising expenditure paid directly to advertising platforms is separate from Brand Factory service fees unless expressly stated otherwise.

17. Suspension or Termination

Brand Factory may suspend or terminate access to services where reasonably necessary due to:

- Non-payment

- Security risks

- Illegal activity

- Abuse

- Breach of these Terms

- Breach of platform policies

- Unauthorized activity

- Requests from relevant authorities

Clients may terminate services according to the terms of their specific service agreement.

18. Limitation of Liability

To the maximum extent permitted by applicable law, Brand Factory will not be liable for indirect, incidental, consequential or special losses arising from:

- Loss of profits

- Loss of revenue

- Loss of business opportunities

- Loss of data

- Third-party platform actions

- Advertising platform suspensions

- Algorithm changes

- Service outages

Nothing in these Terms excludes liability that cannot legally be excluded.

19. Indemnification

Users and clients agree to be responsible for losses, claims or liabilities arising from their unlawful use of Brand Factory services, breach of these Terms, or infringement of third-party rights.

20. Privacy

The collection and processing of personal information is governed by the Brand Factory Privacy Policy.

Users authorizing access to Google services should review the Privacy Policy for information concerning Google API data.

21. Changes to These Terms

Brand Factory may update these Terms & Conditions from time to time.

Updates will be published on this page together with the effective date.

Continued use of the website or services after updated Terms become effective constitutes acceptance of the revised Terms, except where additional consent is required by law.

22. Governing Law

Unless a separate client agreement specifies otherwise, these Terms are governed by the laws applicable to the Brand Factory entity providing the relevant service.

Any dispute will be handled in accordance with the jurisdiction specified in the relevant service agreement or otherwise as required by applicable law.
